Company Registration

Choose a business structure, prepare incorporation details and understand the first steps after registration.

C01Which business structure should I choose for a new business?

The choice depends on ownership, liability, funding plans, taxation and continuing compliance. A proprietorship may suit one owner, an LLP may suit a partner-led business, and a private limited company may suit equity investment. Compare the ongoing responsibilities as well as the registration cost.

C02Is a proprietorship the same as a private limited company?

No. A proprietorship is operated by its individual owner and does not have a separate corporate identity. A private limited company is a separate legal entity with shareholders, directors and company-law obligations. A proprietorship does not receive the same incorporation certificate as a company.

C03Should two founders choose an LLP or a private limited company?

An LLP offers a partnership-based ownership and management arrangement. A private limited company has shares and may better accommodate equity investors and employee share arrangements. Compare fundraising plans, profit distribution, governance, audit requirements and annual compliance before deciding.

C04Can one person register a company?

An eligible individual can consider a One Person Company. An OPC has a single member and requires the prescribed nominee arrangements. It still has company compliance obligations. A sole proprietorship is another option, but it does not provide the same separate corporate structure.

C05Can the same people be directors and shareholders?

Yes, directors can also hold shares. The company must still satisfy the applicable requirements for directors, members and residency. Shareholding determines ownership, while directorship carries management and legal responsibilities; the two roles should be documented separately.

C06Is an LLP suitable for a professional or consulting business?

It can be, depending on the activity and applicable professional rules. The partners should agree on contributions, profit sharing, decision-making, exits and responsibility for work. An LLP is a separate entity and still needs accounts, tax filings and applicable annual filings.

C07Is a Section 8 company suitable for an NGO?

A Section 8 company can suit an organisation with qualifying nonprofit objectives. Its income must be applied to its objects rather than distributed as dividends. Incorporation does not automatically provide income-tax exemption, donor deduction approval or permission to receive foreign contributions.

C08What is the difference between a partnership firm and an LLP?

An ordinary partnership is governed by its partnership arrangement and applicable partnership law. An LLP is incorporated under LLP legislation and has a separate legal identity. Liability, registration, governance and filing requirements differ, so the cheaper initial option is not always the better long-term choice.

C09Does registering a public limited company mean it is listed on a stock exchange?

No. A public limited company can be unlisted. Stock-exchange listing, a public offer and fundraising permissions involve separate requirements. Incorporation should not be marketed as an automatic route to an IPO or public investment.

C10What documents are usually needed for company registration?

Usually, the founders’ identity/address records, proposed business details, ownership/capital information and registered-office evidence are needed. Foreign or corporate subscribers require additional records. Incorporation forms and constitutional documents are prepared from the agreed information rather than assumed to already exist.

C11Can I use my home as a company’s registered office?

A residential address may be usable if the company has a valid right to use it and can provide the required evidence. Check the owner’s consent, occupancy documents and any applicable property restrictions. Registering an address does not automatically permit every commercial activity there.

C12Can I register a company using rented premises?

Yes, subject to the applicable premises documentation. The tenancy/lease arrangement, owner’s authorisation and required address evidence must support the proposed use. The names and address should be consistent across documents to reduce clarification requests.

C13Can I use a virtual office for incorporation?

A virtual-office arrangement is not automatically acceptable merely because a provider sells it. The company needs a genuine, legally usable registered address and the prescribed supporting records. Check access, correspondence handling, documentation and any separate GST requirements before paying for the package.

C14What happens if my identity documents contain different names or addresses?

Differences can lead to verification or clarification requests. Identify whether the discrepancy is a spelling issue, an old address or a legal name change. Correct the underlying record or provide acceptable supporting evidence before submitting inconsistent application information.

C16Can an NRI or foreign national participate in an Indian company?

Participation may be possible, subject to the business sector, investment rules, residency requirements and documentation. Overseas signatures and identity records can require additional formalities. Review the proposed ownership and funding route before incorporation or remittance.

C17How much does company registration cost?

The total depends on the structure, capital, state-related charges, digital signatures, applicant circumstances and professional scope. Ask for a written breakdown of government charges, professional fees and post-incorporation work. A low headline price may exclude important later tasks.

C18What is the difference between authorised and paid-up capital?

Authorised capital is the share-capital ceiling permitted by the company’s constitutional documents. Paid-up capital relates to shares actually issued and paid for. Increasing authorised capital does not itself issue shares or bring money into the business.

C19How long does company incorporation take?

Timing depends on complete documents, name approval, signatures, application scrutiny and any resubmission. Preparation time and government processing time are different. A useful estimate should state its assumptions rather than promise an unconditional incorporation date.

C21Does every new company need GST registration immediately?

No. GST liability depends on the supplies, turnover, location and compulsory-registration provisions or applicable exemptions. Incorporation alone does not settle the question. Assess GST separately rather than automatically adding it to every company-registration package.

C22What should I do after receiving the incorporation certificate?

Complete the applicable banking, capital, statutory-record, auditor and commencement-related steps, and establish a compliance calendar. Then assess tax, GST, employment and activity-specific requirements. The exact checklist depends on the entity and its operations.

C23Is DPIIT startup recognition included automatically with incorporation?

No. Incorporation and DPIIT recognition are separate. Recognition depends on current eligibility and a separate application. Being newly incorporated does not automatically make a business eligible for every startup benefit or tax concession.

C24Can I convert a proprietorship into a company later?

You can move a business into an appropriate company structure, but the work involves more than changing its name. Review assets, liabilities, contracts, licences, employees, tax consequences and registrations. Plan the transfer before issuing invoices or receiving money through the new entity. **6.
