Business Compliance

Plan company, LLP, payroll, foreign-investment and event-based compliance responsibilities.

B01Does a company with no sales still have compliance obligations?

Yes. Zero revenue does not automatically remove company-law, accounting, audit or applicable return obligations. Record even basic transactions such as incorporation expenses, capital and bank charges. Review the entity’s status before deciding that no filing is needed.

B02What normally belongs in a company’s annual-compliance package?

The scope can include accounts coordination, statutory records, applicable meetings/resolutions and annual filings. Income-tax returns, GST, payroll, event-based changes and notices may be separate. Ask for a list of included forms and responsibilities rather than relying on “complete compliance”.

B03What is the difference between LLP Form 8 and Form 11?

Form 8 concerns the applicable statement of account and solvency, while Form 11 is the LLP’s annual return. They serve different purposes. An LLP should review both obligations along with income tax and any audit requirement.

B04Are OPC compliance requirements identical to other private companies?

No. OPCs have specific provisions and exemptions, including differences concerning meetings. They still need applicable accounts, audit and filings. Use an OPC-specific calendar instead of copying every requirement from an ordinary private-company checklist.

B05Does a private company need a statutory audit even with little or no revenue?

Company statutory-audit requirements are not generally determined by the small-business tax-audit turnover threshold. A low-revenue or inactive company should still review its company-law obligations. Tax audit is a separate assessment.

B06Can a new consultant take over my compliance work?

Yes, subject to scope and any professional handover requirements. Collect prior filings, acknowledgements, financial statements, registers, unresolved notices and a pending-work list. Establish authorised access without sharing passwords or OTPs through an enquiry form.

B07What happens if company or LLP filings are overdue?

Consequences depend on the form, period, entity and default. Additional fees, penalties or further compliance issues may arise. First establish the full pending position, then prepare a prioritised regularisation plan rather than promising a universal waiver.

B08Is director KYC still an annual filing?

The 2026 framework replaced the universal annual cycle with a three-year KYC-intimation framework. The correct filing window and process depend on current MCA rules and the director’s circumstances. Changes to contact/address details can require different authentication from a routine intimation.

B09What is needed to appoint a director?

Review eligibility, DIN, consent, relevant disclosures, the proposed appointment date and company approvals. Prepare and file the applicable documents. Adding a name to internal records alone does not complete every statutory step.

All 12 states
B10Are director resignation and removal the same process?

No. Resignation starts with the director’s decision and relevant communication. Removal involves a different statutory process with applicable notices and procedural rights. The supporting documents and approvals should match the actual situation.

B11Can I move my company’s registered office to another state?

It may be possible through the applicable approval and filing route. Interstate changes require more than updating a postal address. Review constitutional documents, approvals, creditor-related requirements and downstream tax/banking changes.

B12Does changing a company’s name create a new company?

An approved name change does not ordinarily mean a new legal entity has been incorporated. The company must complete the prescribed process and update relevant records. Contracts, tax registrations, banks and branding may need coordinated changes.

B13Is increasing authorised capital the same as transferring shares?

No. An authorised-capital increase changes the permitted capital ceiling. Share allotment issues shares, while a share transfer changes ownership of existing shares. Each transaction needs its own assessment and documents.

B14Does every private company have to dematerialise shares immediately?

Applicability depends on the company’s category and current rules. Separate issuer-level arrangements from a shareholder’s conversion of certificates into demat holdings. Do not assume the same compliance date applies to every company.

B15Is filing ADT-1 the same as completing an audit?

No. ADT-1 concerns the applicable auditor-appointment filing. Conducting the audit, issuing the audit report and filing annual financial statements are separate activities. A package should identify which parts are included.

B16Does DPT-3 apply only when a company accepts public deposits?

No. Relevant reporting can extend beyond public deposits to specified outstanding transactions not treated as deposits. Classify the balances and identify the filing purpose before deciding applicability and attachments.

All 12 states
B17Can I close an inactive company or LLP by simply stopping its returns?

No. Closure requires an eligible formal route and appropriate treatment of assets, liabilities, records and pending matters. Strike-off, dormant status and liquidation are different. Stopping filings can add defaults instead of closing the entity.

B18Does receiving foreign investment create reporting obligations?

It can. The transaction, instrument, investor, sector, pricing and dates determine the relevant approvals and reporting. Company/LLP filings and foreign-exchange reporting should be coordinated. A bank transfer alone does not complete the compliance.

B19Must an FLA return be considered when no new foreign investment arrived this year?

Yes. Relevant outstanding foreign assets or liabilities can matter even without a fresh transaction. Review the applicable RBI criteria and reporting data. Audited accounts being unavailable does not automatically mean the return can be ignored.

B20Is bookkeeping included automatically in GST return filing?

No. GST filing may rely on records supplied by the client, while bookkeeping maintains and reconciles the underlying accounts. Confirm whether the scope includes bank reconciliation, ledgers, financial statements and correction of incomplete records.

B21What should a payroll-compliance review cover?

Review employee and employer coverage, wages, attendance, joining/exits, deductions and applicable PF, ESI, professional-tax and TDS obligations. State-specific payroll duties need separate checking. Generating payslips alone does not complete all payroll compliance.

All 12 states
B22Can the same TDS forms be used for every reporting period?

No. The applicable forms depend on the period and legal framework. The transition to the 2026 rules introduces new form numbering for relevant filings. Corrections to older periods must follow the route applicable to those periods rather than automatically using the latest number. **9. Fresh FAQ content: trademarks**
